1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Ocean Blue Software website, online tools, and related services (“Service”) provided by Ocean Blue Software Ltd (“Company”, “we”, “us”, or “our”).

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

The Service includes our marketing website, informational content, and online tools. Our tools allow users to:

• Upload and analyse broadcast stream files (e.g. ATSC 3.0 ALP streams)
• Inspect DVB-I service discovery and delivery configurations
• View analysis results including service information, signalling data, and media components
• Download analysis reports and extracted data
• Access educational content about broadcast technologies

General browsing of the website does not require an account. Certain tools and features require registration and may be subject to usage limits or paid subscriptions as described in Section 6.

3. User Accounts

3.1 Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and complete
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine to be harmful to the Service or other users.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Upload files that contain malware, viruses, or other harmful code
• Upload content that infringes on intellectual property rights of others
• Attempt to gain unauthorised access to the Service or other users’ accounts
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to process classified, restricted, or sensitive government data without proper authorisation
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems to access the Service without our express permission
• Share your account credentials with third parties

5. Intellectual Property

5.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Ocean Blue Software Ltd and is protected by international copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of any files you upload to the Service. By uploading files, you grant us a limited licence to process and store your files solely for the purpose of providing the Service.

You represent and warrant that you have all necessary rights to upload and process the files you submit.

6. Subscriptions and Payment

6.1 Free and Paid Tiers

Certain tools and features are available under a free tier with limited usage. Once free-tier limits are reached, continued access requires a paid subscription. Current pricing, usage limits, and subscription options are displayed within each tool at the point of purchase.

6.2 Billing and Renewal

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

6.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.

6.4 Refunds

Subscription fees are non-refundable except where required by applicable law. If you believe you have been charged in error, please contact us.

6.5 Price Changes

We reserve the right to change subscription pricing at any time. We will give you at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6.6 Lapsed Subscriptions

If your subscription lapses or is cancelled, your account will revert to the free tier. Any data associated with your account will be retained in accordance with our Privacy Policy, but access to paid features will be restricted until you resubscribe.

6.7 Free-Tier Changes

We reserve the right to modify, reduce, or remove free-tier allowances at any time. We will endeavour to give reasonable notice of significant changes.

6.8 Payment Processing

All payments are processed securely by Stripe, our third-party payment provider. We do not store your credit or debit card details. By subscribing, you agree to Stripe's Terms of Service and Privacy Policy. We retain only subscription tier, billing dates, and transaction references for account management and legal record-keeping purposes.

7. Data Handling

We handle your data in accordance with our Privacy Policy. Key points:

• Uploaded files are automatically deleted after 30 days
• Analysis results are retained for 90 days by default (configurable)
• You can request deletion of your data at any time
• We do not share your uploaded files with third parties

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with reasonable notice when possible
• Modify, suspend, or discontinue features of the Service
• Impose limits on usage to ensure fair access for all users

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Analysis results will be accurate or complete
• Any errors in the Service will be corrected

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Ocean Blue Software Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us, if any, during the twelve (12) months prior to the claim.

11. Indemnification

You agree to indemnify and hold harmless Ocean Blue Software Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Any content you upload to the Service

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the “Last updated” date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
